I had not been using it much through December and was lazy in updating it. That was an old update, so I doubt that I'll continue to have problems with updates sticking. everything was FUBAR as far as new updates.   I tried a lot of options... All 23 updates failed. everything I could find, about registering the dlls, updating the registry, re-installing the Update Tool.  I kept getting the "Downloaded but failed to install" issues....0x80004002 was reported in the error log I can't help but think that since XP is at EOL in a few months, that MicroSoft has just put some kind of weirdness on their update tool so people HAVE Windows 7 Will Not Update and in the process, installed Service Pack 3.  After that...

I think you need to install windowsupdateagent30-x86.exe before it'll start working. In my case, this debugging information proved critical. Hopefully this will help. Remove Power Shell if installed.
